These Terms of Service (this "Agreement") govern the purchase and use of any digital product offered by Lux Nomads, LLC, an Arizona limited liability company ("LuxNomads," "Company," "we," "us," or "our") through LuxNomads Digital Relocation, including but not limited to checklists, guides, templates, worksheets, trainings, and other downloadable or digital materials (each, a "Digital Product"). By purchasing a Digital Product, the purchaser ("Customer") agrees to be bound by this Agreement.
1.1 Digital Products are educational and informational resources only. Purchase grants Customer a personal, non-exclusive, non-transferable license to access and use the Digital Product for Customer's own individual use. No physical goods are shipped, and access is generally delivered instantly or within a reasonable time after purchase.
1.2 LuxNomads is not a law firm, tax professional, or immigration authority, and no Digital Product constitutes legal, immigration, tax, or financial advice. Any Digital Product referencing visa categories, document requirements, consulate procedures, or similar matters reflects general information believed accurate as of the date of preparation and is not a substitute for review by a licensed attorney or the relevant consulate or government agency.
1.3 Customer acknowledges that immigration laws, visa requirements, consulate practices, and related rules are set by third-party governments and agencies and are subject to change at any time without notice, and that LuxNomads has no obligation to update a previously purchased Digital Product to reflect such changes.
1.4 Customer must not rely on outside or unvetted sources (e.g., forums, social media groups) in place of official guidance, and is solely responsible for independently verifying current requirements with the appropriate consulate, government agency, or licensed advisor before acting on any information in a Digital Product.
2.1 LuxNomads makes no guarantee of any specific outcome, including but not limited to visa or relocation approval, immigration outcome, financial results, or timeline for any process. Outcomes depend on factors outside LuxNomads' control, including consulate and agency discretion, Customer's individual circumstances, and changes in law or policy.
2.2 Customer is solely responsible for their own decisions and actions taken in reliance on a Digital Product, including immigration, financial, and business decisions, and for compliance with all applicable laws in every relevant jurisdiction.
All content within a Digital Product, including checklists, guides, templates, worksheets, frameworks, copywriting, and branding, is the intellectual property of LuxNomads and Michelle Garabito. Customer's license is limited to personal use only. Customer may not copy, reproduce, republish, redistribute, resell, sublicense, share publicly, repackage, or teach the content as their own, without LuxNomads' prior written consent.
4.1 Full payment is due at the time of purchase. Due to the digital and instantly accessible nature of Digital Products, all sales are final and Customer understands, acknowledges, and agrees that all fees are deemed earned in full upon receipt.
4.2 LuxNomads does not offer refunds, credits, or exchanges for any reason, including but not limited to change of mind, failure to use or implement the material, dissatisfaction with content, or a change in applicable visa or consulate requirements occurring after purchase.
4.3 Digital Content Delivered Immediately — Waiver of Withdrawal Period. If Customer is purchasing from within the European Union, United Kingdom, or another jurisdiction that would otherwise provide a statutory withdrawal or cancellation right for digital content not supplied on a tangible medium, Customer expressly requests that LuxNomads begin performance (i.e., grant access to the Digital Product) immediately upon purchase, acknowledges that doing so is fully performed once access is granted, and expressly and knowingly waives any such statutory withdrawal or cancellation right and any associated refund entitlement to the fullest extent permitted by applicable law.
5.1 LuxNomads is committed to preventing and addressing fraudulent activity and reserves the right to pursue all available legal remedies to the fullest extent permitted by law, including civil action and reporting such conduct to relevant authorities.
5.2 By purchasing a Digital Product, Customer expressly represents and warrants that they will not initiate a fraudulent or bad-faith chargeback or payment dispute with respect to any amount owed to LuxNomads after receiving access to the Digital Product. A chargeback or payment dispute initiated after Customer has received access, other than one based on demonstrable unauthorized use of Customer's payment method, constitutes a material breach of this Agreement.
5.3 In the event of such a breach, LuxNomads may: (a) provide proof of purchase, access records, download logs, IP logs, and this Agreement to the payment processor or financial institution handling the dispute; (b) immediately revoke Customer's access to all LuxNomads Digital Products and future offers; (c) restrict or permanently ban the associated account; and (d) recover from Customer the disputed amount plus any processing, collection, or attorney's fees and costs incurred in addressing the chargeback or dispute, to the extent permitted by law.
6.1 LUXNOMADS MAKES NO WARRANTIES REGARDING ANY DIGITAL PRODUCT EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT. ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW.
6.2 IN NO EVENT SHALL LUXNOMADS, MICHELLE GARABITO, PAUL NELSON, OR THEIR AFFILIATES, CONTRACTORS, EMPLOYEES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST INCOME, LOST OPPORTUNITY, IMMIGRATION OR VISA DENIAL, OR TAX OR LEGAL CONSEQUENCES, ARISING FROM PURCHASE OR USE OF A DIGITAL PRODUCT, REGARDLESS OF THE THEORY OF LIABILITY.
6.3 LUXNOMADS' AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM A DIGITAL PRODUCT SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY CUSTOMER FOR THAT DIGITAL PRODUCT.
Customer shall indemnify, defend, and hold harmless LuxNomads and its officers, members, employees, contractors, and affiliates from any losses, damages, liabilities, claims, or expenses, including reasonable attorney's fees, arising out of Customer's breach of this Agreement, misuse of a Digital Product, or violation of applicable law in connection with a Digital Product.
Access to any current or future LuxNomads offering may be revoked without refund for harassment, abusive behavior, threatening conduct, unauthorized sharing of materials, or fraudulent activity.
9.1 This Agreement and all matters arising out of or relating to it are governed by, and construed in accordance with, the laws of the State of Florida, United States of America, without giving effect to conflict of law principles, except where applicable consumer protection law in Customer's jurisdiction of residence mandates otherwise.
9.2 The parties agree to first attempt in good faith to resolve any dispute arising from this Agreement through informal negotiation before pursuing formal proceedings.
10.1 If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
10.2 This Agreement constitutes the entire agreement between Customer and LuxNomads with respect to the Digital Product and supersedes all prior understandings, written or oral, on the subject.
LuxNomads reserves the right to modify this Agreement at any time without prior notice. Continued use of a Digital Product following any change constitutes acceptance of the updated terms.
